Terms of Service - Assets Studio

1. Acceptance of Terms

By accessing or using Assets Studio ("Service"), you agree to be bound by these Terms of Service. If you differ with any part of these terms, you may not access the Service. You must be at least 18 years old to use this Service.

2. Description of Service

Assets Studio provides AI-powered generation of brand assets including logos, images, and code. The Service is provided on a "credits" basis where users purchase credits to perform generations.

3. Payment & Refunds

Payment Processing: Payment processing services for Assets Studio are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By agreeing to these terms, you agree to be bound by the Stripe Services Agreement.

Credits: Credits are purchased in advance and are non-transferable.

Refund Policy: We offer a full refund within 7 days of your initial purchase if you are not satisfied, provided you have not used a substantial portion of your purchased credits. After 7 days, or after substantial usage, purchases are final and non-refundable.

4. Intellectual Property & AI Generation

Your Ownership: As between the parties and to the extent permitted by applicable law, you own all Input (text prompts) and Output (generated assets).

License to Us: You grant Assets Studio a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and display your Input and Output solely for the purpose of providing and improving the Service.

AI Disclaimer: Artificial intelligence is a rapidly evolving field. Given the probabilistic nature of machine learning, use of our Services may in some situations result in incorrect Output that does not accurately reflect real people, places, or facts. You should evaluate the accuracy of any Output as appropriate for your use case. Output may not be unique and other users may generate similar content.

5. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, harmful, threatening, abusive, or defamatory.
Infringe upon the intellectual property rights of others.
Reverse engineer or attempt to extract the source code or underlying models of the Service.
Use automated scripts to scrape or interact with the Service without permission.

6. Limitation of Liability

To the maximum extent permitted by law, Assets Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of these terms shall not exceed the amount you paid us in the past 12 months.

7. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new terms.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
